LEXTAL advised Santander Bank Polska and other banks in connection with a EUR 120,000,000 syndicated loan facility to plywood manufacturing group Paged. Advice was provided in cooperation with the lead counsel White & Case. LEXTAL team was led by partner Ants Karu.
LEXTAL advised Skandinaviska Enskilda Banken AB (publ), other banks and number of institutional investors in a EUR 500,000,000 financing to Adven (syndicated loan facility and notes’ issue). Adven is the leading provider of energy and water services across the Nordic and Baltic countries. LEXTAL advised the sellers in the sale of Premium 7 gas stations to Circle K (Statoil).
LEXTAL advised AS Aasa Global on a €50 million private equity deal. Aasa Global operates non-collateral consumer credit businesses in Finland through its local subsidiaries.

LEXTAL advised Delfi UAB, a leading internet media company, on a cross border €2.8 million acquisition of an online advertisement company in Lithuania, which involved M&A and acquiring approval for a merger from the national competition authority.

LEXTAL advised the Estonian Government on preparing and conducting the procurement process for new trains for ELRON.
LEXTAL assisted BMGS concerning the construction of the infrastructure for a liquefied gas terminal in Lithuania, involving public procurement, construction and contractual issues.
LEXTAL advised the Estonian Government on resolving disputes over IT services.

LEXTAL represented the shareholders of Levicom. Shares in Levicom had been sold to Tele2 and the shares were held by a Dutch holding company prior to the sale. The court ruled in favour of LEXTAL’s client.
LEXTAL successfully represented the Riga city court bailiff in a dispute with the state revenue service regarding fines applied on the basis of a tax audit.
LEXTAL successfully represented T.R.E.C in a VAT dispute concerning deducting the input of value added tax.
Real Estate, Construction and Environment
We advice and represent construction and designing companies, real estate developers and private persons. The projects of our clients include trade centres, new residential areas and other commercial real estate. We have extensive experience in using different standard construction contracts and solving disputes in court. We also advice private clients in disputes related to real estate purchases and lacks to conformity regarding real estate deficiencies.
LEXTAL advised the Irish company Duke House Asset Managers in one of the largest real estate privatisation and investment projects in Lithuania (€44 million).
LEXTAL advised on concluding the construction contract for the new €24 million Coop logistics centre in Estonia.
LEXTAL advised BMGS on the construction of Kakumäe yacht harbour in Estonia.

In the so-called land exchange case in Estonia, LEXTAL achieved the acquittal of its client based on the unreasonable term of the procedure. LEXTAL’s client was the only accused to be cleared of liability.
LEXTAL provided representation in criminal proceedings regarding illegally acquired property in Latvia. LEXTAL provided defence counsel for the owner of the property, which was to be seized in proceedings regarding criminally acquired property.
